1. Welcome to RegiSTARUS.com

Welcome to RegiSTARUS.com (the “Site” or “Platform”), operated by RegiSTAR US Ltd. (“RegiSTAR US,” “we,” “us,” or “our”). RegiSTAR US is a software-as-a-service (SaaS) platform designed to help nonprofit organizations, their advisors, and service providers manage and track state charitable registrations, renewals, and related compliance tasks.

By accessing or using the Site or Platform (including any customer logins, dashboards, project workspaces, questionnaires, and document management features), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“TOS”). If you do not agree with these terms, you must discontinue use of the Site and Platform.

Age Restriction: You must be at least 18 years old to access or use this Site and Platform.

2. Nature of the Platform & Content

  1. Primary Purpose: RegiSTAR US provides tools to manage nonprofit registration and compliance–related workflows, including but not limited to: The Platform is intended primarily for organizations and professional users (e.g., nonprofits, consultants, accountants, and attorneys) rather than consumers.
  2. Informational Content: The Site may include informational content such as help text, knowledge base entries, blogs, or guides about nonprofit registration and compliance topics. This content is for general informational purposes only and does not constitute legal, tax, or accounting advice.
  3. Global Access: Users from any jurisdiction may access the Site, but the Platform is primarily focused on U.S. state charitable registration and related regulatory workflows. You are responsible for ensuring that your use of the Platform complies with the laws applicable to you.

3. Membership, Subscriptions & Paid Services

  1. Paid Services: Access to the RegiSTAR US Platform and related services may be provided under a subscription, retainer, or service agreement. This can include: monthly or annual subscriptions, per-project or per-filing fees, onboarding/implementation fees, or other agreed pricing structures.
  2. Billing & Invoicing: Unless otherwise agreed in writing, invoices are due in accordance with the payment terms specified in your service agreement or invoice. Payments may be accepted via check, ACH, wire transfer, or another method mutually agreed upon.
  3. No Refunds (Unless Otherwise Stated): Due to the nature of software access and professional/implementation work, fees paid for services or subscriptions are generally non-refundable, except where required by law or explicitly stated in a separate written agreement.
  4. Cancellation: For recurring subscriptions, you may cancel by providing written notice in accordance with your service agreement (for example, a thirty (30) day notice before the next billing period). Cancellation will prevent future renewals but will not retroactively refund past charges unless expressly agreed to.
  5. Payment Disputes: If you believe there is a billing error, you must notify us promptly at support@registarus.com so we can review and address the issue.

4. User Accounts & Access

  1. Account Types: The Platform supports different user roles, such as organizational users (e.g., nonprofit staff, leadership), client users, and internal or staff-side users associated with RegiSTAR US or its service partners. Your access and permissions may be limited based on your role.
  2. Registration Information: When creating an account or being onboarded, we may collect information such as your name, email address, company name, company website, phone number, and any other details necessary to set up your organization’s profile in the Platform and deliver our services.
  3. Organizational Data: We store organization-specific information (such as legal name, EIN, fiscal year, registered addresses, officer information, state registration statuses, questionnaire responses, document requirements, and filing histories) to power the Platform’s features and reporting.
  4. Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately if you suspect any unauthorized use of your account.
  5. Suspension & Termination: We may suspend or terminate accounts for reasons including, but not limited to: nonpayment, violation of these TOS, misuse of the Platform, or suspected fraudulent or unlawful activity.

5. Content & Intellectual Property

  1. Our Content: The Platform, including its software, design, templates, workflows, questionnaires, document requirement rules, and written materials (excluding your uploaded content), is owned by RegiSTAR US or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your internal business or organizational purposes.
  2. Your Content & Data: You retain ownership of the data and documents you upload or provide via the Platform (including organizational records, financials, registrations, questionnaires, and attachments). By using the Platform, you grant us a non-exclusive license to store, process, and display this data solely to provide and improve the services, fulfill our contractual obligations, and comply with legal or regulatory requirements.
  3. Feedback & Suggestions: If you provide feedback, feature ideas, or suggestions about the Platform, you agree that we may use this feedback without restriction or compensation, and that it becomes part of our internal intellectual property and product roadmap.

6. User-Submitted Content & Conduct

  1. Content You Provide: In addition to formal documents, you may submit comments, notes, or other text within projects and filings. You are solely responsible for the content you enter into the Platform and for ensuring it is accurate and appropriate.
  2. Prohibited Conduct: You agree not to use the Platform to: We reserve the right to remove content and/or suspend access where we believe these TOS have been violated.
  3. Third-Party Rights: You are responsible for ensuring you have the necessary rights and permissions to upload documents and data (for example, if they include personal information of officers, donors, or staff).

7. Privacy & Data Handling

Data Collected: We collect and process information such as organization details, contact information, state registration and filing data, questionnaire responses, document uploads, and usage activity within the Platform. We use this information to operate, maintain, and improve the Platform and to provide services to you.
  2. Use of Service Providers: We may use third-party service providers (such as hosting, storage, analytics, and email providers) to help us deliver the Platform. These providers are typically bound by contractual obligations to protect the data they handle.
  3. No Sale of Data: We do not sell your personal or organizational data to third parties. We may use aggregated or de-identified information for analytics, product improvement, or reporting that does not identify specific organizations or individuals.
  4. Regulatory & Legal Compliance: We may access, preserve, or disclose information if we reasonably believe it is necessary to comply with applicable laws or regulations, or to protect the rights, property, or safety of our users or others.
  5. Data Rights & Requests: Depending on your jurisdiction, you may have certain rights related to your personal data (such as access, correction, or deletion). To exercise any such rights or make a request, contact us at support@registarus.com.

8. Cookies & Analytics

  1. Essential Cookies: We use cookies that are necessary for the operation of the Platform, including session cookies used to keep you logged in, security-related cookies, and other technical cookies required for basic functionality. These cookies are required for the Platform to function properly.

9. Disclaimers & Limitation of Liability

No Legal or Tax Advice: The Platform, including any content, automated suggestions, or reports, is provided for informational and workflow management purposes only and does not constitute legal, tax, or accounting advice. You should consult qualified professionals before making decisions related to compliance, registrations, or filings.
  2. Service Availability: We strive to keep the Platform secure and available, but we do not guarantee uninterrupted or error-free operation. Planned or unplanned downtime may occur.
  3. Limitation of Liability: To the maximum extent permitted by law, RegiSTAR US and its owners, employees, and contractors shall not be liable for indirect, incidental, consequential, or punitive damages, or for lost profits or revenues arising from your use of, or inability to use, the Platform. Our total liability for any claim related to the Platform is limited to the amounts you paid us for the services during the twelve (12) months preceding the event giving rise to the claim, unless otherwise required by law.

10. Governing Law & Dispute Resolution

  1. Governing Law: These TOS are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-law principles.
  2. Dispute Resolution: Any disputes arising out of or relating to these TOS or your use of the Platform will first be addressed through good-faith negotiations between the parties. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in Denver, Colorado, unless the parties agree otherwise in writing.
  3. Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action.

  1. Term: These TOS remain in effect while you access or use the Site or Platform. We may modify, suspend, or discontinue the Site or Platform (in whole or in part) at any time.

We may update or modify these TOS from time to time. When we do, we will update the “Last Updated” date at the top of this page. Your continued use of the Site or Platform after any changes become effective constitutes your acceptance of the revised TOS. If you do not agree with the updated terms, you must stop using the Platform.

By continuing to use RegiSTARUS.com and the RegiSTAR US Platform, you acknowledge that you have read, understand, and agree to these Terms of Service. If you do not agree, you must discontinue use of the Site and Platform.
